On May 24, 2024, TMC the metals company Inc. (the “Company”) was notified by the U.S. Securities and Exchange Commission (“SEC”) that it has concluded its previously disclosed investigation of the Company and certain of its officers and directors regarding the Company’s 2020 acquisition of Tonga Offshore Mining Limited from Deep Sea Mining Finance Ltd. and the Company’s 2021 business combination transaction with Sustainable Opportunities Acquisition Corp. and that the SEC does not intend to recommend an enforcement action against the Company or these officers and directors based on the information available to the SEC at this time.
